Legal Agreement

Aadya Solution Ltd. (“ASL”) is a technology company that offers an online Third-party quote system, AllQuotes.ca for customers to request multiple quotes from local businesses for their projects and allows customers to maximize their reach to multiple businesses.

ASL’s Terms of Use (the “Terms”) apply when you, the business, access and use our website at allquotes.ca (the “Website”) to request provide quotes to customers using our online subscription based service on our Website. These Terms constitute a legal agreement between ASL, the owner of the Website, and you, the business.

On AllQuotes.ca , the use of term Quote is referred to as an estimate or a rough pricing, it is Not a fixed quote. 

BY REGISTERING, SETTING UP A PROFILE AND USING THE WEBSITE, YOU AGREE TO BE BOUND BY ASL’S TERMS OF USE. EACH TIME YOU ACCESS AND USE THE WEBSITE, YOU SIGNIFY YOUR ACKNOWLEDGMENT AND ACCEPTANCE OF THESE TERMS.

 

IF YOU DISAGREE WITH ANY OF THESE TERMS OR DO NOT WISH TO BE BOUND BY THE TERMS, THEN DO NOT REGISTER, ACCESS OR USE THE WEBSITE.

ASL may change the Terms at any time without notice to you. You are responsible for, and encouraged to, review the Terms regularly. The date of the last revision to the Terms can be found at the bottom of this document. Your continued access and use of the Website after this date signifies your consent to any changes to the Terms.

 

Purpose and Content

The purposes of the Website for you, the business, are to:

• allow you to browse information regarding ASL and its services;
• for business to register for the online AllQuotes system and set up a profile;
• for business to provide quotes for customer projects from customers who are registered on Website and to have their own dashboard of quotes and responses for the customer project(s);
• allow customers to respond to business quote and to allow customers to accept/approve or decline any response from the business and upon acceptance of quote allow business to respond to customer by providing access to customer’s email and contact information; and
• business can receive feedback from customer(s) received through Website and post such reviews to their profile.

You, as business, are solely for any responses to feedback posted and for compliance with the Terms and any other applicable law. ASL is not responsible for any responses to feedback posted, including but not limited to, any errors or omissions in those responses. ASL reserves the right, but is not obligated, to monitor responses posted on the Website and to remove any responses which, in ASL’s sole opinion, violates or may violate the Terms, any applicable law or upon request of a third party. ASL does not endorse any responses posted on the Website.

Business retain rights to content of its profile and to any responses to feedback posted on the Website. By posting responses on the Website, you grant ASL a worldwide, irrevocable, perpetual, non-exclusive and royalty-free license to use, reproduce, process, adapt, modify, publish, transmit, display and distribute such responses in any and all media or distribution methods now known or later develope 

Disclaimer

The Website is a subscription based services in which businesses register and pay a subscription fee to be listed on the Website. ASL does not request or accept any payments from customers for the use of its subscription based AllQuotes system and does not take any fee or commission based on any quote from a registered business accepted by customer.

Business is solely responsible for its relationship with customer(s) including but not limited to any quotes, changes in quotes, engagement with customer and any and all work undertaken for a customer and customer project through a quote made through the Website or for the payment by the customer for the business services or any guarantee of business services. ASL shall have no responsibility, obligation or liability for any matter arising from business and customer including but not limited to quotes, changes quotes, of the appointment of business or scope or details of work undertaken for a customer project.

Online Registration System

In order to access online AllQuotes system and subscription based service, you, as a business, must sign up and using your email complete business registration form on the Website. You will select your choice of subscription service and subscription fee (monthly or annually) by business category and will pay for your subscription fee through our online third-party payee.

You will be emailed to verify your email address , which will then enable you to build a profile and upload the profile to our Website. You will be solely responsible for the content of your profile however ASL will have administrative control over the profile for the purposes of the administration of the Website and the Terms and for the purposes of deactivating your business account or including it on more than one business category on the Website.

A business may opt to participate in AllQuotes system “Badge Program” by paying an additional annual fee per year to be designated as a silver badge business or if a business participates as a registered business on the Website and builds a good standing,then without further fee, the business will be designated as a gold badge business.

ASL may deactivate your profile by sending an email request to ASL or in ASL’s sole discretion, in the event that you fail to pay your subscription fee or you are in breach of the Terms or Privacy Code or Privacy Statement.

Each registered business upon uploading their profile will receive an email to verify their email address and activate their profile to their dashboard in order to response to requests for quotes from customer(s). Business will get email notification for each customer quote and will have a time limit set by AllQuotes system to respond to request for quote. There is a limit of five (5) quotes per day and no maximum 

A registered business’ profile can only be linked to one (1) service category for one (1) subscription plan and therefore the business must have a separate login for each business category. 

The AllQuotes system will generate an automatic receipt for all subscription and services fees paid by business and a monthly receipt will be uploaded to the business’ dashboard and business will receive an email notification of receipt upload.

All data generated by AllQuotes system will be retained for one (1) year only.

The online AllQuotes system can only be accessed by registered business. You must register with your real name and information. You must not provide false information. You must not create multiple accounts or create accounts under fraudulent circumstances or through automated means. You must not transfer any account.

You may only access the online AllQuotes system through your login(s) and password. You are solely responsible for safeguarding your login(s) and password. You must not share your login(s) and password, permit others to use your login(s) and password, or engage in any other act that may jeopardize the security of your account. You are solely responsible for any access of the online AllQuotes system that results because you shared your login and password or as a result of the theft or misappropriation of your login(s) and password.

ASL is not responsible for any loss or damage that may arise from your failure to safeguard your login(s) and password. You must notify ASL immediately of any unauthorized use of your account.

ASL reserves the right to terminate any business account that breaches the Terms, Privacy Code, Privacy Statement, or any of our policies, practices, and regulations 

Commercial Electronic Messages (“CEMs”)

ASL only sends CEMs, such as emails, in accordance with Canada’s Anti-Spam Legislation (“CASL”). ASL does not permit any business of the Website to use the Website to send CEMs in violation of CASL 

You can contact ASL through the Website. In the event that you send a request, inquiry or complaint to ASL through the Website, ASL will respond in compliance with CASL. A CEM sent to you in response to a request, inquiry or complaint will be limited to directly addressing that request, inquiry or complaint, subject to the inclusion of additional information that a person could reasonably expect to receive as a result of that request, inquiry or complaint. If you submit a request, inquiry or complaint through the Website, this will not constitute consent for further CEMs and ASL will only ever CEMs in accordance with CASL.

You may subscribe to receive CEMs regarding ASL’s services. You will only receive such CEMS if ASL has received your express consent. You can unsubscribe by sending an email to the team. Your unsubscribe request will be processed within 10 business days of receipt.

Third Party Websites

The Website may contain links from other third-party websites and all such websites are independent of ASL. ASL has no control over these third-party websites and assumes no responsibility or obligations for such third-party websites. The provision of such links does not constitute any endorsement of such linked websites, their content or information appearing on the Website.

 ASL uses third party payees to process payments on behalf of ASL. ASL has no control over any third-party payee website. ASL is not responsible for the security or privacy of any information submitted to a third-party payee. Use of any third-party payee website is at your sole risk.

Use of the Website

In accessing and using the Website and online AllQuotes system or subscription based service, you, as a business, must not:

• other than providing quotes in accordance with the Website’s subscription based service, you are strictly prohibited from using our Website, online AllQuotes system and subscription based service to solicit customers;
• reproduce, duplicate, copy, sell, resell or exploit any portion of the Website, use of the Website, or except in accordance with these Terms, access to the Website;
• sell, transfer, copy, distribute, redistribute, translate, reverse engineer, or recompile the Website;
• except as permitted in the Terms, use any frame or mirror of any content or images from the Website to any other server or Internet-based device or use any images, including the use of thumbnails, copying, saving or recreating images or thumbnails, for any purpose;
• upload, download, post, email or otherwise distribute or transmit content that would constitute or encourage a criminal offense, violate the rights of any party, or that would otherwise create liability or violate local, provincial, federal or international law or infringe any patent, trademark, trade secret, copyright or other intellectual property or proprietary right of third party or contains software viruses or other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
• upload, post, host, or transmit unsolicited email, SMSs, or "spam" messages on the Website or our online registration system or subscription based service or send unsolicited bulk messages, status or mood updates, bulletins or other unauthorized commercial communications through the Website;
• use any information or material from the Website in any manner or use, post or engage in any activities that infringes a third party’s intellectual property or rights of publicity or privacy;
• use the Website to distribute to or otherwise disseminate any material or information of any kind that is libellous, inaccurate, profane, racist, intended to bully, harass, intimidate or harm, defamatory, obscene, sexually explicit, violent, pornographic, abusive or otherwise violates any law or infringes or violates any rights, including intellectual property rights, of any other person or entity;
• use the Website to engage in activities or provide information that is false, inaccurate or misleading or to provide fraudulent or involve sale of counterfeit or stolen items;
• transmit any worms or viruses or any code of a destructive nature through the Website or through our online AllQuotes system or subscription based service;
• deep link or employ software or any automatic device, technology or algorithm that use any robot, spider, scraper or other automated means to access the Website or our online AllQuotes system or subscription based service;
• provide information or participate in activities that will result in the transfer to the Website of any viruses, Trojan horses, worms, corrupted files, hoaxes, time bombs, cancelbots, Easter eggs and other computer programming routines that may damage, harm, interfere or expropriate any of the Website’s or Offerings’ systems, programs, content, information or applications, or that may track or monitor functionality in connection with the Website or our online AllQuotes system or subscription based service, including, without limitation, to identify other users’ views, actions or other activities on the Website or through our online AllQuotes system or subscription based service;
• directly or indirectly engage in activity, such as click throughs, in a coercive, misleading, malicious or fraudulent manner;
• bypass any measures that we have taken to restrict access to the Website or our online AllQuotes system or subscription based service without the prior written consent of ASL;
• engage in activities that would interfere with the operation of the Website our online AllQuotes system or subscription based service;
• impose an unreasonable load on the Website’s infrastructure that would affect the operation of the Website;
• use JavaScript, active or other coding, repetitive posts or other actions that interfere with the Website’s or our online AllQuotes system or subscription based service operations;
• advertise to, or solicit to buy or sell any products or websites through the unauthorized or impermissible use of the Website or our online AllQuotes system or subscription based service;
• circumvent or modify or attempt to circumvent or modify or encourage or assist any third party in circumventing or modifying any security technology or software that is part of the Website or Offerings or to cover or obscure online advertisements or safety features of pages of the Website or our online AllQuotes system or subscription based service;
• modify, adapt or hack the Website or our online AllQuotes system or subscription based service or modify another website so as to falsely imply that it is associated with the Website, our online AllQuotes system or subscription based service or ASL;
• attempt to impersonate another user, person or entity or ASL representative in your use of the Website or our online AllQuotes system or subscription based service or attempt to sell or otherwise transfer your rights to another third party;
• use any computer program or system to mine or harvest information, including addresses or other data of users from the Website or our online AllQuotes system or subscription based service, for any purpose without the prior written consent of ASL;
• post content that violates the Terms or disrupts or interferes with the security of, or otherwise abuse, the Website or our online AllQuotes system or subscription based service or system resources, accounts, servers, or networks connected to or accessible through the Website or our online AllQuotes system or subscription based service;
• access, tamper with or use non-public areas of the Website or Offerings or disrupt or interfere with any other customer or business use of the Website or our online AllQuotes system or subscription based service;
• knowingly disable any technology or tool embedded in the Website or our online AllQuotes system or subscription based service; and
• remove any copyright or other proprietary notices contained in the content on the Website or our online AllQuotes system or subscription based service, caption information, or any other material on the Website or Offerings. 

Linking Requirements

 If you wish to link to any website owned or controlled by you, you must abide by ASL’s linking requirements. The linking requirements are as follows:

• the link must be established to a page of the Website approved by ASL;
• the link may not misrepresent your relationship with ASL or present false or misleading impressions about ASL, its products and services and/or the Website or our online AllQuotes system or subscription based service;
• the link may not contain content that may be interpreted as distasteful or offensive;
• ASL shall have no responsibility or liability for any content appearing on your website; and
• ASL may at any time, in its sole discretion, immediately terminate your link to your website, with or without cause. If ASL exercises this right to terminate, you will immediately remove all links to your website.

Intellectual Property

You do not acquire any right, title or interest in the Website or our online AllQuotes system or subscription based service through use of the Website or our online AllQuotes system or subscription based service. You must abide by copyright and other proprietary notices contained in the Website or our online AllQuotes system or subscription based service.

With the exception of third party advertising or links, ASL exclusively owns all information and screens appearing on the Website and our online AllQuotes system or subscription based service, including all designs, graphics, text elements, site design, logos, images, buttons, and icons. ASL owns the selection, assembly, and arrangement of all information and screens appearing on the Website and our online AllQuotes system or subscription based service, including any and all intellectual property rights, such as copyright, trademarks, and other proprietary information. All third party advertising and links belong to their respective owners and must not be use by you for any purpose with the prior written consent of the respective owner(s).

ASL also owns the right, title and interest to all content management systems, frameworks, ASL templates, mockups and compositions, final design frameworks, all copy and graphics and all source code in the Website and our online AllQuotes system or subscription based service.

The look and feel of the Website and our online AllQuotes system or subscription based service is copyrighted by ASL. All rights are reserved. You may not duplicate, copy, or reuse any portion of the HTML/CSS, JavaScript, or visual design elements or concepts without the prior written consent of ASL.

ASL and its AllQuotes logo are the property of ASL. Certain other trademarks, trade names and logos on the Website and our online AllQuotes system or subscription based service are the property of the respective owners. Use of any such property, except as expressly authorized, shall constitute a violation of the rights of the owner of the property and shall result in immediate termination of your rights to use the Website and our online AllQuotes system or subscription based service.

All content, except user content, that forms part of the Website and our online AllQuotes system or subscription based service is subject to intellectual property rights, including copyright and trademarks held by or licensed by ASL. All rights are reserved. The Website and our online AllQuotes system or subscription based service display copyright and other proprietary notices. You may not frame or utilize framing techniques to enclose any trademark, logo or other proprietary information, including images, text, and page layout, or use any meta tags or any other hidden text utilizing our name or trademarks without the prior written consent of ASL.

You may not use any of ASL’s logos or other proprietary graphic or trademark designs as part of any link without the prior written consent of ASL.

Copyright law, trademark law and other intellectual property and proprietary rights legislation or common law, as well as international copyright treaties and multilateral and bilateral agreements, protect the Website and our online AllQuotes system or subscription based service. Unauthorized reproduction of the Website or our online AllQuotes system or subscription based service, or any portion of the Website or our online AllQuotes system or subscription based service, may result in severe civil and criminal law penalties.

You must not challenge or assist others to challenge any of ASL’s trademarks or application to register any of ASL’s trademarks or attempt to register any trademarks or tradenames that are confusingly similar to any of ASL’s trademarks. ASL respects the intellectual property of others and we ask users of the Website and our online AllQuotes system or subscription based service to do the same 

If you believe that ASL or a user of the Website or online AllQuotes system or subscription based service has violated your intellectual property rights, you may report the matter through the ASL contact form, available at ContactUs. ASL requires you provide a written request detailing the specifics of the intellectual property infringement, a link or the URL of your original materials and a link or the URL of the infringing material, and proof of ownership of the original material or proof of first publication. If ASL chooses not to remove the allegedly infringing material, we will provide you with notification. ASL will remove such allegedly infringing material upon submission of legal documentation of a ruling in your favour in regards to the allegedly infringing material.

Liability, Warranties, Representations and Indemnification

Your access and use of the Website and our online AllQuotes system or subscription based service is at your sole risk. The Website and our online AllQuotes system or subscription based service are provided on an "as is" and "as available" basis and ASL disclaims any and all other warranties and representations.

Specifically, ASL does not warrant that:

• the Website or our online AllQuotes system or subscription based service will meet your specific requirements;
• the Website or our online AllQuotes system or subscription based service will be available, uninterrupted, timely, secure, or error-free;
• that any third-party products or services integrated with the our online AllQuotes system or subscription based service will be available, uninterrupted, timely, secure, or error-free;
• the results that may be obtained from the use of the Website or our online AllQuotes system or subscription based service will be accurate or reliable;
• the quality of any information obtained by you through the Website or our online AllQuotes system or subscription based service will meet your expectations; or
• any errors in the Website or our online AllQuotes system or subscription based service will be corrected.

UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, SHALL ASL BE LIABLE FOR ANY GENERAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF, OR INABILITY TO USE, THE WEBSITE OR ALLQUOTES SYSTEM OR SUBSCRIPTION BASED SERVICE. SOME PROVINCES DO NOT ALLOW FOR THE LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. ALTHOUGH CERTAIN PROVINCIAL, STATE OR FEDERAL LAWS MAY NOT ALLOW LIMITATIONS OF IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, ASL RELIES ON SUCH DISCLAIMERS AND LIMITATIONS TO THE GREATEST EXTENT ALLOWABLE BY LAW.

To the extent permitted by the laws of your jurisdiction, you agree to indemnify ASL from and against all claims, liability and expenses, including legal fees and costs, arising from any unauthorized use of the Website or our online AllQuotes system or subscription based service s by you or from a substantial breach of the Terms. ASL reserves the right, in its sole discretion and at its own expense, to defend any action or claim and you agree to co-operate fully with any such defense. 

Termination or Suspension of Website

ASL reserves the right to terminate, change, suspend or discontinue any aspect of the Website at any time without notice including, but not limited to:

• the availability of features, the AllQuotes system or subscription based system;
• the information or content or business profiles or access to customers of the Website; or
• certain features such as customer review and feedback to business on the Website.

ASL may restrict access to all or parts of the Website at any time. ASL reserves the right, but is not obligated, to correct any errors or omissions in any portion of the Website or our online AllQuotes system or subscription based service.

Any breach of the Terms by you will result in your right to use the Website and our online AllQuotes system or subscription based service being terminated. The obligations in the Terms concerning use of the Website and our online AllQuotes system or subscription based service, intellectual property and liability survive the termination of this agreement.

 Privacy

Your access and use of the Website and Offerings is subject to ASL’s Privacy Code, available here Privacy Code, and Privacy Statement, available here Privacy Statement.

No Assignment

Your rights under the Terms cannot be assigned.

No Waiver

The failure of ASL to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.

Jurisdiction

The Website can be accessed from all provinces and territories of Canada, as well as from other countries around the world. As each of these jurisdictions has laws that may differ from those of the Province of British Columbia, by accessing the Website or online AllQuotes system or subscription based service, you agree that all matters relating to access to, or use of, the Website or online AllQuotes system or subscription based service, or any other hyperlinked website shall be governed by the laws of the Province of British Columbia and the federal laws of Canada as applicable and notwithstanding conflicts of law. You also agree and hereby submit to the exclusive jurisdiction and venue of the courts of the Province of British Columbia and acknowledge and do so voluntarily. 

Severability

In the event that any term or condition in the Terms is found invalid by a court of competent jurisdiction, the invalid term or condition is severed and the remaining terms and conditions continue in full force and effect.
